SERVICE PROVIDER USER AGREEMENT

1.INTRODUCTION

1.1. The website with the domain name www.wupdoc.com, operated by Wupdoc V.B (“Wupdoc” “We”), is established with the aim of bringing Health Clinics and/or Providers worldwide together on a platform and enabling access to individuals all around the world. This Service Provider User Agreement (“Agreement”) includes terms and details regarding the use of Wupdoc as a medical service provider. This Agreement regulates the conditions that the User must comply with from the moment they wish to register to benefit from the Wupdoc platform.

1.2. Wupdoc, a company located at Sloterweg 303 1171 VC Badhoevedorp, Amsterdam, Netherlands, with a tax identification number 865127761, provides services on Wupdoc in a guide nature and does not replace medical advice for Users.

1.3. By visiting Wupdoc, you declare and commit that you have read this Service Provider User Agreement, fully understand its content, and unconditionally accept all specified matters.

1.4. This Agreement regulates the legal relationship between Wupdoc and the Clinic and/or Provider only in relation to the use of the Wupdoc Platform. The agreement between the Clinic and/or Provider and the consultant will be regulated within the scope of the Distance Service Agreement to be concluded between the parties.

2.DEFINITIONS

2.1. Unless expressly stated otherwise, the terms mentioned in this Agreement should be understood as defined below:

Wupdoc: Will mean the website where Wupdoc offers health tourism services with the domain name www.wupdoc.com.

Service Provider: Will mean real and legal persons providing a platform for users to contract for goods or services electronically.

Content Provider: Will mean real or legal persons who produce, modify, and provide any information or data presented to Users on the internet.

Blog: Will mean the area within the Wupdoc Platform where content on various topics is published by Wupdoc.

Device: Will mean electronic devices, preferably with video calling and speaking features, capable of running primarily modern internet browsers, such as computers, tablets, smartphones, etc.

Service: Will mean services that are not prohibited by legislation and the provisions of this agreement, purchased by paying the agreed fee according to the contract concluded between the Clinic and/or Provider and the consultant.

Member: Will mean anyone who has registered on the website by fully completing the membership form located on the Wupdoc Platform.

User: Will mean all real or legal persons accessing Wupdoc.

Visitor: Will mean person(s) who can navigate Wupdoc without becoming a member but cannot connect with members on the Platform, cannot express opinions, and do not have the status of User.

Consultant: Will mean anyone who seeks help from expert individuals providing services in the health field to solve any problem, meaning a patient.

Content: Will mean all kinds of accessible information, text, and visual and auditory images, such as information, writing, files, images, videos, figures, etc., published on Wupdoc.

Clinic/Hospital: Will mean health institutions providing services in at least 2 specialty areas of medical services.

Provider: Will mean real and legal persons providing services in the health field and having expertise in at least one area.

GDPR: Is a regulation in EU law on data protection and privacy for all individuals within the European Union and the European Economic Area. It will mean the European Union General Data Protection Regulation.

Personal Data: Will mean any information relating to an identified or identifiable natural person as defined in the Data Protection Laws of 2003 and the EU General Data Protection Regulation GDPR 2018 ("DP Laws").

3.GENERAL TERMS

3.1. This Agreement regulates the mutual rights and obligations of Wupdoc and Health Service Providers. This Agreement must be read before accessing the Wupdoc Platform by the health service provider and before any transaction is performed on Wupdoc, and before becoming a member of the Platform.

3.2. If some or all of the conditions regulated in the Agreement are not accepted by the Clinic and/or Provider, the use of the Wupdoc Platform should be terminated immediately, no membership should be made to the Platform, and/or no transaction should be performed on the Platform as a service provider. If the Clinic and/or Provider access the Platform or perform a transaction on the Platform, it will be understood that they have accepted and approved the terms written in this Agreement.

3.3. Wupdoc reserves the right to update and change the Platform and this Agreement. Updates and changes that may occasionally be made regarding the Clinic and/or Provider on the Platform will be evaluated within the scope of this Agreement, and continuing to use the Platform and/or benefit from the opportunities within the Platform will mean that the updates have been accepted by the Clinic and/or Provider.

3.4. Health institutions from anywhere in the world can become members of the Platform. Wupdoc is not obliged to confirm this if membership is made without meeting the membership requirements. In this case, the Clinic and/or Provider will be solely responsible for any damages that may arise.

3.5. If Wupdoc makes any changes to this Agreement, the updated Agreement will be published on the Platform and will be valid from the moment it is published with its favorable articles, and the existing and subsequent Clinic and/or Providers will be subject to the updated terms. Separate and explicit approval will be obtained from the Clinic and/or Provider for possible changes to be made against the Clinic and/or Provider.

4.WUPDOC PLATFORM

4.1. Wupdoc; is a platform that allows the Visitor to examine and compare the Clinic and/or Providers located within the Platform, connect with them to purchase the services provided by them, containing treatment methods, patient reviews and evaluations, videos and photos, blog articles, and providing recognition. In this context, Wupdoc is not a party, guarantor, or guarantor of the contracts to be established between the Clinic and/or Provider and the patient/consultant in any way and is a service provider that strives to provide the services offered through this Platform in the best way.

4.2. Clinic and/or Provider wishing to benefit from the opportunities offered within the Wupdoc Platform is obliged to fill out the membership form on the Platform and submit the following information to the Wupdoc Platform by accepting this Agreement electronically;

4.2.5. Phone number,

4.2.6. Address,

4.2.7. User password

4.3. Clinic and/or Provider, who becomes a member of the Wupdoc Platform and purchases any of the annual plan types and credits, can open the request form sent to them by the User, respond, and access patient data.

4.4. Clinic and/or Provider is obliged to ensure that the phone number and/or email address information shared with Wupdoc during the membership procedures is correct and up-to-date, and Wupdoc may send a verification short message (SMS) and/or email to the phone number to confirm that the phone number and/or email address information is correct and up-to-date during the approval and access stage.

4.5. Clinic and/or Provider is solely responsible for ensuring that the information requested during membership creation is correct, complete, and up-to-date; if there are changes in this information, they are obliged to perform the necessary notifications on the Platform as a Member. Clinic and/or Provider cannot make any claims against Wupdoc in case they cannot use the Wupdoc Platform properly, encounter data deletion, and/or suffer material and moral damage due to the information provided being incomplete and/or incorrect or not up-to-date. If Wupdoc suspects the accuracy of the information declared by the Member, it has the right to suspend or terminate the Member's membership temporarily.

4.6. Wupdoc has the right to suspend, stop, or close the membership of the Clinic and/or Provider for any reason and solely based on its discretion after evaluating the suitability and accuracy of the information and documents that need to be uploaded after membership by Wupdoc. It is important to note that Wupdoc is not obliged to confirm the accuracy of the information and documents provided by the Clinic and/or Provider.

4.7. Clinic and/or Provider is considered to have accepted making payments through the Payment System within the scope of purchasing transactions from the plan types they will choose on the Platform. Clinic and/or Provider will be subject to the agreement of the Payment System during the transactions they will perform through the Payment System. Clinic and/or Provider is obliged to provide bank/credit card information correctly and completely while making payment through the Payment System. Clinic and/or Provider knows and accepts that the bank/credit card information will be stored by the Payment System. All security measures related to the storage of bank/credit card information will be provided by the licensed payment institution to which the Payment System is affiliated, and in this context, it accepts, declares, and undertakes that its counterpart is the said institution and Wupdoc will not be responsible for any problems, including card theft. Clinic and/or Provider can request the deletion of bank/credit card information from the Payment System at any time.

4.8. Clinic and/or Provider cannot have multiple accounts simultaneously on the Platform. Without the written consent of Wupdoc, they cannot transfer this Agreement or the rights and obligations contained herein, the user profile, account information, partially or completely to any third party; they cannot open their membership to the use of others except those they explicitly authorize on the Platform. Wupdoc cannot be held directly and/or indirectly responsible in any way for the damages that other Platform users and third parties may suffer or may suffer as a result of such transfers or unauthorized uses. If it is determined that the person has used or transferred their membership to someone else, the membership account of the relevant person will be permanently deleted and this Agreement will be terminated unilaterally by Wupdoc.

4.9. Clinic and/or Provider is obliged to inform Wupdoc and the bank where the bank account is located immediately if they detect unauthorized access to their account, an unauthorized transaction is made or attempted, or suspect that their account login information and bank account information have been stolen. Otherwise, Clinic and/or Provider will be solely responsible for any damages that may arise due to not providing information or providing late information.

4.10. Regarding Clinic and/or Providers with complaint records opened with official authorities, Wupdoc can suspend, close access, or deprive these people of their rights to use the Platform for a certain period or indefinitely after the investigation it will conduct.

4.11. Clinic and/or Provider, while performing membership procedures, promoting their services on the Platform, accepts, declares, and undertakes to act in accordance with all the terms contained in this Agreement, the rules announced from the Platform and/or to be announced at any time in the future, and all legal regulations, including those referred to in this Agreement.

5.PROVIDER'S RIGHTS AND OBLIGATIONS

5.1. The Clinic and/or Provider, in terms of the profile, message, response, explanation, and other contents it will create on the Wupdoc Platform, accepts, declares, and undertakes that it possesses the status of a Content Provider, will act in accordance with the rights and obligations granted to it, and that Wupdoc has no responsibility in case these contents are lawful and/or cause loss of rights in the presence of third parties.

5.2. The Clinic and/or Provider will not include statements that can create discrimination such as religion, language, race, gender, sexual preferences, insulting and violent content, statements and approaches that violate the privacy, personality, intellectual property rights of third parties, including but not limited to, expressions contrary to law, general morality, information and comments that do not comply with the purpose of the contents, and information outside the purpose of sharing experiences and evaluations in their comments, and will not engage in behavior that disturbs the community or other Platform users.

5.3. The Clinic and/or Provider accepts that it will be solely responsible for any damages that Wupdoc will incur due to all kinds of content, including explanations and photographs to be added to the Platform, and that the intellectual property and personality rights of the contents added to the Platform are not of a nature that will constitute a violation of rights in the presence of third parties.

5.4. The Clinic and/or Provider accepts, declares, and undertakes that it will not reproduce, distribute, copy, and/or process the Platform in a way that constitutes interference in the personal rights, intellectual property rights, or property rights of Wupdoc and/or other third parties.

5.5. The Clinic and/or Service Provider will not engage in activities that will lead to unfair competition on the Wupdoc Platform, will not engage in behaviors that will shake the personal and commercial reputation of Wupdoc and third parties, will act in accordance with the legislation, public order, and general moral rules, will fulfill the measures and procedures required by the legislation, and will not engage in illegal, criminal, disturbing, personality-damaging, intellectual rights, copyright, trademark rights, and property rights contrary attitudes and behaviors.

5.6. The Clinic and/or Provider accepts in advance that the explanations, videos, pictures, and other details on the Platform can be used by Wupdoc for the purpose of promoting the Platform.

5.7. The Clinic and/or Provider accepts, declares, and undertakes that it will not perform operations that will damage the content and media providers, services, software, or data belonging to Wupdoc, prevent access, overload, or damage in any way. It cannot use the services offered on the Wupdoc Platform in a way that prevents third parties from benefiting.

5.8. The Clinic and/or Provider cannot block, interrupt Wupdoc's servers or networks connected to it, or add contents or codes that change or block the way the Platform is displayed or viewed on other Users' Devices in any way, by transmitting worms, viruses, spyware, malicious software, or any other kind of harmful or inhibitory code. The User cannot engage in any initiative that will disrupt the integrity and performance of the Platform, including but not limited to reverse engineering, converting to source code, penetration, interference, reversing, copying activities.

5.9. The Clinic and/or Provider is aware and accepts that it will only be authorized to disclose confidential, private, or commercial information shared with it about the Users requested only in relation to the subject of the request, in situations where it is obliged to make a statement to official authorities in accordance with the mandatory provisions of the current legislation.

5.10. Wupdoc is not obliged to investigate, determine, or audit the accuracy, currency, or validity of the declarations and commitments of the Clinic and/or Provider within the scope of this Agreement. If it is determined at any time that the Clinic and/or Provider has violated any of these declarations and commitments, the Clinic and/or Provider will continue to be obliged to fully fulfill all the obligations specified in the said contracts, while not being able to benefit from any rights specified in this Agreement.

5.11. In the event that the Clinic and/or Provider violates this Agreement, the Clinic and/or Provider accepts and declares that Wupdoc can unilaterally terminate this Agreement immediately and demand compensation for all direct and indirect damages it has suffered due to the violation and termination of this agreement.

5.12. The User, who communicates with the Clinic and/or Provider and purchases services, can make evaluations and comments about the service experience to be published visibly to everyone within the Wupdoc Platform for the purpose of providing feedback. In case the evaluations and comments made about the Clinic and/or Provider are defamatory, contain insults, and are damaging to personality rights and commercial reputation, the Clinic and/or Provider can notify Wupdoc within 24 hours to prevent this comment from being published on the Platform. If the Clinic and/or Provider does not notify Wupdoc within 24 hours, this comment will be published on the Platform. The Clinic and/or Provider can request Wupdoc to remove this comment even if the 24-hour period has expired, provided that there are justified reasons. Wupdoc will not make any financial demands from the User regarding the removal or modification of these comments.

5.13. The Clinic and/or Provider can purchase any of the plans and credits offered on the Wupdoc Platform via the “Plan&Update” page on the Platform. Wupdoc offers the Free Doctor package to Platform Users without any fee request. The Clinic and/or Provider has the right to purchase Basic Doctor, Advanced Doctor, Premium Doctor, and Clinic&Hospital plans and credits by completing the payment transaction under the terms and conditions on the Platform. It is important to note that Wupdoc has the right to change the terms and conditions regarding service plans by publishing them on the Platform.

5.14. Wupdoc can offer additional services to the Clinic and/or Provider through the Platform. The scope, fee, and conditions of these additional services will be determined unilaterally by Wupdoc, and no payment will be requested from the Clinic and/or Provider under any name and title other than the payments determined by Wupdoc.

6.WUPDOC'S RIGHTS AND OBLIGATIONS

6.1. Wupdoc, which lists Providers offering health services worldwide based on algorithms such as aesthetic, hair transplantation, dental service, general surgery, and many other health services, patient scoring and satisfaction, phone and email traffic, etc., does not offer any service to the Clinic and/or Provider to be listed at the top in the listing. Therefore, you should be aware that you are obliged to make the best possible effort to communicate with each potential customer both by phone and email within 48 hours after a request is created by a potential customer on the Platform.

6.2. Wupdoc, being a service provider, is obliged to provide the opportunity for people who want to access Clinic and/or Providers providing health services worldwide, but has no responsibility for planning appointments and providing medical services. In this context, Wupdoc accepts and undertakes to fulfill its obligations as an intermediary service provider in accordance with the regulations to which it is subject.

6.3. Wupdoc is obliged to provide the technical infrastructure required for the operation of the Platform and to show the reasonable effort expected from it to remedy a possible technical malfunction.

6.4. Wupdoc will show the necessary care for the services offered through the Platform to be provided on time, securely, and without errors, and for the service quality to meet expectations, but Wupdoc has no commitment regarding these issues.

6.5. Wupdoc does not provide advice and guarantees about the Provider and/or Clinics. Therefore, the obligation to research Clinics and Health personnel on our Platform belongs to the Users, and it is recommended to do detailed research before working with any Clinic or Service Provider. The membership of any Clinic or Service Provider to the Platform does not mean that it has been approved by Wupdoc.

6.6. Wupdoc always reserves the right to add new ones to the services it offers, change the scope and conditions of the accessed contents of existing services, close them to the access of third parties, and delete them. Wupdoc can use this right in any way it wishes without making any notification and giving notice.

6.7. Wupdoc has the right to take necessary measures and notify the Clinic and/or Provider regarding the complaint subject, request a defense, delete the relevant Clinic and/or Provider, and keep it away from the Platform so that it cannot become a member again in cases where the Clinic and/or Provider uses the opportunities offered to it by the Platform outside of what is foreseen and/or violates this Agreement, including but not limited to unethical communication and inappropriate content sharing. Wupdoc also has the right to terminate the membership of the Clinic and/or Provider at any time and without paying any penalty and/or compensation, solely at its discretion. If it is determined that such a Clinic and/or Provider has opened another account, Wupdoc can close these accounts as well and demand compensation for all damages it has suffered/may suffer.

6.8. Wupdoc can temporarily or permanently stop the publication of the contents in case the contents published on the Platform are contrary to law and morality, carry a nature that violates the personal and commercial rights, intellectual property rights, or property rights of Wupdoc and/or other third parties, or are subject to warnings in this direction, or are directly or indirectly contrary to this Agreement, and can suspend the membership of the relevant person or permanently delete the membership of the relevant person and unilaterally terminate this Agreement. Wupdoc can use this right without making any notification and giving notice.

6.9. Wupdoc reserves the right to change the way the Platform is used, the information required for membership, plans, rules for using membership, payment methods, fees, Payment System, and other matters related to the Platform. In this context, Wupdoc can turn transactions that currently do not require membership into transactions that require membership, offer additional services, partially or completely change some services, turn services offered free of charge into paid services, update the fee of services currently charged, or make them free. Before offering services that are used free of charge to the Clinic and/or Provider as paid, approval will be obtained from the Clinic and/or Provider regarding this matter.

6.10. Wupdoc is not used for purposes other than its purpose. The Clinic and/or Provider is not allowed and consented to partially or completely copy user information, designs, codes and software, information in the database, publish them directly or indirectly on other media, compile, process, modify, transfer them to other databases, open them to access and use of third parties, including but not limited to similar actions. Such actions are illegal and Wupdoc's compensation, demand, lawsuit, and follow-up rights are reserved.

6.11. Wupdoc is authorized to disclose all data requested from it in accordance with the procedure in case it is duly requested by official authorities due to mandatory legislation or subordinate regulatory transactions. Such disclosure cannot be evaluated as a violation of information confidentiality or the protection of personal data.

7.DISCLAIMER

7.1. Wupdoc; will have the status of an intermediary service provider in accordance with the legislation; therefore, it will not be a party to disputes that may arise regarding the fulfillment of obligations related to the agreement between the Clinic and/or Provider and the consultants, and the use of the right of withdrawal.

7.2. Wupdoc will not be involved in any communication/interaction activity that will take place between the Clinic and/or Provider and the consultant, nor will it be the addressee of problems, damages, or other demands arising from this communication. Wupdoc is not obliged to check the accuracy of the information and content transmitted by the Clinic and/or Provider to Wupdoc or uploaded to the Platform, or to audit the reliability, accuracy, and legality of this information and content. It cannot be held responsible for any damage that may arise due to the information and content being incorrect or erroneous. In this context; Wupdoc's responsibility is limited to taking necessary steps and measures in line with possible notifications and complaints.

7.3. Wupdoc cannot be held responsible for the situation and consequences in case the accounts of the Clinic and/or Provider, any element in these accounts, any work and/or data prepared, are temporarily or permanently lost or become unusable due to technical reasons that may arise during the provision of the service through the Platform.

7.4. Wupdoc cannot be held directly and/or indirectly responsible in any way for the damages suffered or may be suffered by third parties due to the activities carried out by the Clinic and/or Provider in violation of the provisions of this Agreement and laws. Otherwise, Wupdoc has the right to recourse any damages it has suffered/may suffer from the relevant party.

7.5. All transactions arising from legal changes that will take place outside the scope of this Agreement will be outside the responsibility of Wupdoc and will be reflected in the Agreement in the same way.

7.6. Wupdoc tries to protect the data of all Clinics and/or Providers who are members of the Platform. Wupdoc will not be held responsible for the damages that may arise in case the data of the Clinic and/or Provider is seized by third parties without the fault of Wupdoc. Wupdoc's obligation is limited to taking necessary technical and administrative measures and showing maximum effort to protect the mentioned information; all kinds of financial, legal, and criminal responsibilities arising from the seizure and/or use of the Clinic and/or Provider's information by third parties without the fault of Wupdoc belong to the Clinic and/or Provider.

7.7. The Clinic and/or Provider can only perform transactions on the Platform for legal purposes. The legal and criminal responsibility for every transaction and action performed by the user on the Platform belongs only to itself. The Clinic and/or Provider agrees and undertakes not to reproduce, copy, distribute, process, transfer to another database, or upload to the Platform in a way that may produce such results, the images, texts, visual and auditory images, video clips, files, databases, catalogs, and lists on the Platform that will constitute an infringement on the tangible or personal rights, and property of Wupdoc and/or another third party; not to engage in any activity by performing such actions; and not to perform behaviors and transactions that constitute unfair competition directly and/or indirectly, either with these actions or in other ways. Wupdoc cannot be held directly and/or indirectly responsible in any way for the damages suffered or may be suffered by third parties due to the activities performed by the Clinic and/or Provider on the Platform in violation of the Agreement provisions and laws.

7.8. If the Clinic and/or Provider accesses the Platform through Devices that are not suitable for using the Platform and any person is harmed due to this, it will be responsible for all damages that will occur.

7.9. Wupdoc will not be held responsible for the damages that may arise in case the information transmitted to the Payment System is shared with third parties and/or seized by third parties.

7.10. Wupdoc is not responsible for any damages that require punishment, including loss of profit, data loss, whether directly, indirectly, and accidentally related or unrelated to the use of the Platform.

7.11. Wupdoc will not be responsible if it cannot partially or fully fulfill its responsibilities in the Agreement due to some objective impossibilities that can be called force majeure, such as natural disasters, terrorist events, war, military practices, widespread epidemic diseases with epidemic/pandemic characteristics and related government measures and/or intense transportation restrictions, fire, earthquake, energy and labor loss, damage to servers, penetration into network systems. Wupdoc has the right to temporarily suspend/stop the services offered on the Platform until the force majeure conditions are eliminated.

8.INTELLECTUAL PROPERTY RIGHTS

Wupdoc; holds the rights related to the contents, images, writings, visual and auditory images, video clips, files, databases, catalogs, and lists of its website, the rights related to designs, trade names, and intellectual property rights, including but not limited to ideas produced for new or improved services, and intellectual property rights. The Clinic and/or Provider do not have the right to resell, process, copy, share, distribute, display, or allow others to access or use intellectual property rights. The Clinic and/or Provider agrees and undertakes not to reproduce, process, distribute, or create derivative works from copyrighted works.

9.PROTECTION OF PERSONAL DATA AND COOKIE POLICY

9.1 Personal data of the Clinic and/or Provider, which is being processed due to the services and opportunities provided by Wupdoc, is processed in accordance with Data Protection Laws and the EU General Data Protection Regulation ("GDPR"), and the Privacy Policy and Cookie Policy accessible through the Platform. In this context, the Clinic and/or Provider is obliged to read the Privacy Policy and Cookie Policy before navigating on the Platform and becoming a member.

9.2 In addition to the data mentioned in article 9.1, personal data of the real person representative of the Clinic and/or Provider is processed within the scope of the mentioned regulations and Policies.

9.3 Wupdoc may share personal data of the Clinic and/or Provider, which it is processing, with third parties in compliance with the regulations.

9.4 After the termination of the Clinic and/or Provider's membership, profile information and any content in the profile will be removed from the Wupdoc Platform. However, Wupdoc reserves the right to decide to continue publishing some content on the Platform, including comments and evaluations.

9.5 During the period when the Clinic and/or Provider visits the Wupdoc Platform, cookie records and cookie types, also referred to as "cookies", are kept in accordance with the Cookie Policy available on our website. The Clinic and/or Provider is obliged to read the Cookie Policy offered to them.

10.CHANGES IN USAGE TERMS

Wupdoc can unilaterally change this Service Provider User Agreement by announcing it on the Wupdoc Platform. The changing provisions of this Service Provider User Agreement come into effect on the date they are announced.

11.INTEGRITY OF THE AGREEMENT and WAIVER

11.1. The invalidity, illegality, and unenforceability of any provision of this Agreement or any expression in the Agreement will not affect the validity, enforceability, or execution of the remaining provisions of the Agreement.

11.2. Rules, policies, and practices that are available for access by the Clinic and/or Provider on the Platform and/or that the Clinic and/or Provider must comply with within the scope of the use of the Platform, and which may be changed unilaterally by Wupdoc from time to time, constitute an annex and an integral part of this Agreement.

11.3. The fact that one of the parties does not use or enforce any right given to it in the Agreement does not mean that it waives that right, and it will not prevent that right from being used or enforced later.

12.EVIDENCE AGREEMENT

The parties accept, declare, and undertake that in any kind of dispute that may arise from this Agreement, their books and records, computer records, data kept in databases and servers, commercial messages, correspondence, photographs, e-mails, and social media correspondence will constitute binding, valid, definitive, and exclusive evidence, and that this clause is in the nature of an absolute evidence agreement.

13.APPLICABLE LAW AND AUTHORITY

13.1. Wupdoc; is operated by the Netherlands-based www.wupdoc.com. domain website. Wupdoc does not guarantee that its services are suitable for countries outside the Netherlands or comply with any legal or regulatory requirements of other countries. All other countries accept that the laws of the country in which they are located apply when using Wupdoc. If any part of the services offered through Wupdoc is prohibited from being used in the country and/or region where the Clinic and/or Provider using Wupdoc resides, the responsibility arising from this belongs entirely to the Clinic and/or Provider.

13.2. These terms of use will be subject to Dutch law and interpreted according to these laws. Therefore, the authority to decide on any legal dispute, investigation, and prosecution that may arise will belong to the Dutch courts, and the language of any dispute resolution procedure will be English.

14.TERMINATION

14.1. If the User terminates this Agreement, the use of the Wupdoc Platform will be stopped immediately.

14.2. Wupdoc has the right to terminate the Agreement immediately without any notification if the Users act contrary to this Agreement.

14.3. The User accepts that Wupdoc has no responsibility to itself or a third party in case its access to the Platform is suspended or terminated in any way.

15.NOTIFICATIONS

15.1. Notifications to be made to Wupdoc in accordance with this Agreement (including requests, wishes, complaints, and opinions, but not limited to these) will be made by sending an email to support@wupdoc.com.

15.2. Wupdoc, on the other hand, can make notifications through the email address or phone number specified in the User profile for transactions performed on the Platform in general. Notifications made in this way will be considered to have reached the addressee in any case and will produce all the provisions and consequences of a legally valid notification.

15.3. Unless the User notifies in writing the changes in email, phone number, address, or other contact information, or updates other contact information recorded in the system, notifications made to the email address, phone number, or physical postal address registered in the system will be valid even if they do not actually reach the User and will produce all the provisions and consequences of a legally valid notification.
